SOPSellers' Open Protocol

Terms of Service

This English version is provided for convenience. If there is any inconsistency, the Traditional Chinese version prevails.

Effective date: October 19, 2026

These Terms apply to this website (https://sellers.carboneasy.ai) operated by Seller Technology Ltd. (台灣商戶科技有限公司; the "Company"), and to the products and services the Company provides to Merchants (the "Services"). By using this website or the Services, you agree to these Terms.

1. Definitions and Application

  1. "Merchant" means a company, business entity, or individual that engages the Company to provide the Services.
  2. The scope of services, fees, schedule, and acceptance method for each individual project are governed by the quotation, statement of work, or contract confirmed by both parties (collectively, the "Project Agreement").
  3. If these Terms are inconsistent with the Project Agreement, the Project Agreement prevails.

2. Services and Changes

  1. The Services include LINE Official Account onboarding and setup, Messaging API and system integration, AI customer service, booking and reminders, membership and points, POS, e-commerce, and CRM integration, and operations, reporting, and training. The actual scope is as stated in the Project Agreement.
  2. Changes to the scope of services must be confirmed in writing by both parties; changes may affect fees and schedule.

3. Merchant Responsibilities

  1. The Merchant must own and maintain the LINE Official Account, provider, channel, and other third-party system accounts it uses, and must comply with each platform's terms and policies. This does not apply to SOP Store Notifications provided through the Company's own LINE Official Account.
  2. The Merchant must provide accurate, complete, and lawful data and content, and is responsible for that content.
  3. When collecting its customers' personal data, the Merchant must give customers the notices required by law and obtain any necessary consent.
  4. The Merchant must safeguard the permissions and account information it grants to the Company, and adjust them promptly when its personnel change.

4. Third-Party Platforms and Services

  1. The Services use or integrate with third-party platforms and services (for example, LINE, cloud hosting, AI models, and POS and booking systems). Each platform decides its own specifications, pricing, review, feature changes, suspension, or termination.
  2. The Company will assist, within reasonable limits, in responding to changes made by third-party platforms, but does not guarantee that any third-party platform will continue to provide its services, and is not responsible for the conduct of third-party platforms.
  3. Third-party platform fees (for example, LINE Official Account plan fees and messaging fees) are paid by the Merchant directly to that platform and, unless the Project Agreement provides otherwise, are not included in the Company's quotation.

5. Fees, Payment, and Taxes

  1. Fees, payment schedule, and payment method are as stated in the Project Agreement.
  2. Unless otherwise stated, all prices are in New Taiwan dollars (NT$) and exclude tax.
  3. If the Merchant pays late, the Company may suspend the Services after giving written notice, until payment is made in full.

6. Acceptance

  1. After the Company completes delivery, the Merchant must conduct acceptance within the period stated in the Project Agreement; if none is stated, within 10 business days after delivery.
  2. If the Merchant does not raise any specific nonconformity within the acceptance period, acceptance is deemed passed.
  3. After the Company corrects a nonconformity, the corrected portion is accepted again.

7. Intellectual Property

  1. Rights in the content, data, trademarks, and materials provided by the Merchant belong to the Merchant; the Merchant licenses the Company to use them to the extent necessary to provide the Services.
  2. Rights in deliverables customized for a Merchant's project are governed by the Project Agreement. If the Project Agreement is silent, then after paying all fees in full, the Merchant may use them permanently within the scope of its business.
  3. Rights in the Company's pre-existing tools, software components, templates, and know-how belong to the Company. For the portions used in a Merchant's project, the Company licenses the Merchant to use them to the extent necessary to use the Services.

8. Data Processing

  1. When the Company is entrusted by a Merchant to process personal data of the Merchant's customers, it does so only within the scope of the entrustment, in accordance with Taiwan's Personal Data Protection Act, the Privacy Policy, and the Project Agreement.
  2. The sub-processors used by the Company are listed on the Data Protection and Security page; the Company gives the Merchant advance notice of any change.
  3. User data obtained through the LINE platform is used only for that Merchant's service. It is not provided to third parties and is not used outside that service.
  4. After the Services terminate, the Company will return data as the Merchant instructs. If the Merchant gives no instructions, the Company will delete the Merchant data it holds within 30 days after termination, except where the law imposes a retention obligation.
  5. For SOP Store Notifications provided through the Company's own LINE Official Account, the Company handles merchant staff data under Section 6-1 of the Privacy Policy.

9. AI Features

  1. The output of AI customer service and auto-replies may be inaccurate or incomplete. The Merchant must review the data and reply rules the AI uses, and keep a mechanism for handoff to a human.
  2. AI features do not provide medical, legal, investment, or other professional advice.
  3. The Company does not use the conversations or data of Merchants' customers to train AI models.
  4. AI usage fees are calculated based on actual usage, and the calculation method is as stated in the Project Agreement.

10. Service Levels and Operations

The scope of operations services, response times, and maintenance windows are governed by the plan the Merchant selects and the Project Agreement.

11. Confidentiality

  1. Each party must keep confidential the other party's trade secrets, customer data, pricing, and technical information that it learns through the collaboration, and must not disclose them to third parties or use them for any purpose other than the collaboration.
  2. The confidentiality obligation remains in effect for 3 years after the Services terminate; for information involving personal data and trade secrets, the obligation continues in effect.
  3. This does not apply to disclosure required by law or by a competent authority, but to the extent the law permits, the other party must be notified in advance.

12. Warranties and Disclaimers

  1. The Company provides the Services with professional and reasonable care.
  2. Except for warranties expressly stated in these Terms or the Project Agreement, the Company does not warrant that the Services will be uninterrupted or error-free, or that they will meet all of the Merchant's particular purposes.
  3. The Company is not liable for damages arising from changes to, suspension of, or termination of a third-party platform, or from data or content provided by the Merchant, except where the Company acts with willful misconduct or gross negligence.

13. Limitation of Liability

The Company's liability for damages to the Merchant in connection with the Services is limited to the total fees actually paid by the Merchant to the Company for the relevant project in the 12 months before the damage occurred, and excludes indirect damages, lost profits, and loss of goodwill. However, this does not apply where the Company acts with willful misconduct or gross negligence.

14. Term and Termination

  1. The term of a Project Agreement is as stated in that agreement. For operations services with no stated term, the services renew month to month, and either party may terminate by giving 30 days' prior written notice.
  2. If a party materially breaches these Terms or the Project Agreement and does not cure the breach within 15 days after written notice, the other party may terminate the engagement.
  3. After termination, the Company will hand back the configurations and documentation and handle data in accordance with Section 8; the Merchant must pay for the services provided before termination.

15. Force Majeure

If a party is unable to perform, or is delayed in performing, because of events for which neither party is responsible, such as natural disasters, war, government action, large-scale network or power outages, or widespread failures of third-party platforms, the affected party is not liable, but must promptly notify the other party and use its best efforts to reduce the impact.

16. Changes to These Terms

The Company may revise these Terms. Revisions will be posted on this website with an updated effective date. For a revision that materially and adversely affects a Project Agreement in progress, the Company will notify the Merchant 30 days before it takes effect.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of China (Taiwan). For any dispute arising from these Terms or the Services, the parties agree that the Taiwan Taipei District Court has jurisdiction as the court of first instance.
